1. Acceptance
By creating an account or using GSD ("Service"), you agree to these Terms & Conditions ("Terms") on behalf of yourself or the organization you represent. If you do not agree, do not use the Service.
2. The Service
GSD is an electronic signature platform that lets you prepare, send, and collect legally binding signatures on documents. Electronic signatures created through GSD are valid under the U.S. Electronic Signatures in Global and National Commerce Act (ESIGN) and the Uniform Electronic Transactions Act (UETA).
3. Accounts
- You must provide accurate information when creating an account.
- You are responsible for maintaining the security of your password and all activity under your account.
- You must be at least 18 years old to create an account.
- One account per person. You may invite team members under your organization's account.
4. Acceptable Use
You may not use GSD to:
- Forge signatures or impersonate another person.
- Send documents containing illegal content.
- Violate any applicable law or regulation.
- Attempt to gain unauthorized access to the Service or its infrastructure.
- Resell or sublicense access to the Service without written permission.
We reserve the right to suspend or terminate accounts that violate these rules.
5. Billing & Payment
- Subscriptions — billed monthly or annually in advance. You may cancel at any time; cancellation takes effect at the end of the current billing period. No refunds for partial periods.
- Pay-as-you-go — charged per envelope send based on the published rate schedule. Credits purchased are non-refundable once used.
- All payments are processed by Stripe. We do not store your card details.
- Prices are in USD and may change with 30 days' notice.
6. Your Content
You retain ownership of all documents and data you upload. You grant us a limited license to store and process your content solely to provide the Service. We will not access your documents except to deliver the Service or as required by law.
7. Electronic Signature Validity
Signatures collected through GSD are intended to be legally binding under ESIGN and UETA. It is your responsibility to ensure that the use of electronic signatures is appropriate for your specific document type and jurisdiction. GSD does not provide legal advice.
7a. Prohibited Data Types
GSD is a general-purpose document signing platform and is not designed or certified for regulated sensitive data. You may not use GSD to collect, store, transmit, or process:
- Protected Health Information (PHI) — GSD is not a HIPAA Business Associate and has not executed a Business Associate Agreement with you. Do not use GSD for documents containing patient records, diagnoses, treatment information, or any other PHI as defined under the Health Insurance Portability and Accountability Act (HIPAA).
- Payment card data — GSD is not PCI DSS compliant. Do not embed or collect full credit card numbers, CVV codes, or other payment card data in documents or fields.
- Government-issued identification numbers — Do not use GSD to collect Social Security Numbers (SSNs), passport numbers, driver's license numbers, or equivalent government identifiers unless you have independently verified that doing so complies with all applicable laws and your own data security obligations.
You are solely responsible for ensuring your use of GSD complies with all applicable laws and regulations governing the data in your documents. We reserve the right to suspend accounts found to be processing prohibited data types.
8. Availability
We aim for high availability but do not guarantee uninterrupted service. We are not liable for losses caused by downtime, data loss, or delays outside our reasonable control.
9. Limitation of Liability
To the maximum extent permitted by law, Presidium Services LLC's total liability to you for any claim arising from use of the Service is limited to the greater of (a) the amount you paid us in the 3 months before the claim arose, or (b) $100 USD. We are not liable for indirect, incidental, or consequential damages.
9a. Indemnification
You agree to indemnify, defend, and hold harmless Presidium Services LLC, its officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to: (a) your use of the Service; (b) your violation of these Terms; (c) your violation of any third-party right, including any intellectual property, privacy, or contractual right; or (d) any claim that content you submitted through the Service caused damage to a third party. This indemnification obligation survives termination of these Terms.
10. Disclaimer of Warranties
The Service is provided "as is" without warranty of any kind. We disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement.
11. Governing Law
These Terms are governed by the laws of the State of Florida, USA. Any disputes shall be resolved in the courts of Florida.
12. Changes to These Terms
We may update these Terms. We will notify you by email or a notice on the site at least 14 days before material changes take effect. Continued use of the Service after that date constitutes acceptance of the updated Terms.
